Bonson RePlay Returnable System

ONTARIO, Canada — Jones Healthcare Group has acquired the operating assets of sustainable packaging manufacturer Good Natured Products after the Canadian packaging group entered insolvency proceedings, preserving key manufacturing operations while providing a path forward for part of the business.

The Ontario Superior Court approved the sale of substantially all operating assets used by Good Natured Products Packaging Brampton LP to Jones Healthcare Group – Thermoforming Inc., together with the company’s Brampton manufacturing property.

The transaction follows months of restructuring efforts as the sustainable packaging producer struggled with rising resin costs, supply shortages and tightening liquidity.

Court Approves Going-Concern Sale

Good Natured Products Industrial Canada LP and five related operating companies filed Notices of Intention (NOI) to make a proposal in June 2026, seeking creditor protection while pursuing a sale of the business as a going concern.

Following court approval, Jones Healthcare will acquire:

  • The Brampton thermoforming and packaging business
  • Manufacturing assets
  • The property located at 5 Abacus Road, Brampton, Ontario

The court also extended creditor protection through September 5, 2026, allowing the transaction to proceed.

Resin Costs and Supply Disruptions Hit Operations

Good Natured manufactures plant-based and sustainable packaging for food producers, restaurants, consumer goods companies and industrial customers.

The company attributed its financial difficulties to several factors, including:

  • Rising resin prices
  • Raw material shortages
  • Supply disruptions linked to Middle East geopolitical tensions
  • Reduced inventory financing availability

According to court filings, higher resin costs and limited supply affected production, preventing the company from fulfilling some customer orders and reducing cash flow.

The company reported approximately CAD 8.4 million in net losses during the 15 months ending March 31, 2026.

Debt Exceeded CAD 39 Million

At the time of filing, Good Natured owed approximately:

Major secured lenders included TD Bank, RBC, Export Development Canada, Wells Fargo and HUK 147 Limited.

Jones Healthcare Emerged as Sole Viable Buyer

The sale followed a targeted marketing process involving 13 prospective purchasers.

Although two letters of intent were received, Jones Healthcare was the only bidder to submit a viable proposal for the operating business.

As Good Natured’s largest customer, Jones supported operations during negotiations by:

  • Continuing product orders
  • Purchasing raw materials
  • Assisting with logistics

The company expects to offer employment to at least 15 employees from the Brampton operation.

Sustainable Packaging Market Remains Under Pressure

The acquisition highlights the ongoing challenges facing sustainable packaging manufacturers despite growing market demand for recyclable and plant-based packaging.

While regulatory support and consumer interest continue to drive adoption of sustainable packaging, manufacturers remain exposed to volatile raw material prices, financing constraints and supply chain disruptions.

Industry analysts note that larger packaging companies with stronger balance sheets may continue pursuing acquisitions as smaller sustainable packaging producers face increasing operating and capital pressures.
