ITC Century Pulp acquisition

NEW DELHI, India — ITC Ltd has completed the acquisition of Century Pulp and Paper (CPP) from Aditya Birla Real Estate Ltd (ABREL), finalizing one of the largest consolidation deals in India’s paper and paperboard industry.

The transaction, valued at ₹3,498 crore, transfers the entire pulp and paper business to ITC on a slump-sale basis, including all associated assets, liabilities, contracts and employees. Aditya Birla Real Estate confirmed the completion of the transaction in a stock exchange filing on August 1.

ITC Expands Manufacturing Capacity

The acquisition significantly strengthens ITC’s paperboards, paper and packaging business by adding Century Pulp and Paper’s integrated manufacturing operations at Lalkuan, Uttarakhand.

Established in 1984, the mill has an installed production capacity of approximately 480,000 tonnes per year, producing:

  • Writing and printing paper
  • Tissue paper
  • Paperboard products
  • Pulp

With the acquisition completed, ITC’s combined paper and paperboard production capacity is expected to reach nearly 1.5 million tonnes annually, reinforcing its position among India’s leading paper manufacturers.

Strategic Shift for Aditya Birla Real Estate

For Aditya Birla Real Estate, formerly known as Century Textiles and Industries Ltd, the divestment marks another milestone in its transition toward becoming a focused real estate company.

The sale also ends the Aditya Birla Group’s decades-long presence in the pulp and paper manufacturing sector.

The business transfer agreement was signed on March 31, 2025, following shareholder approval in July 2025 and regulatory clearances, including approval from the Competition Commission of India.

Consolidation Continues Across India’s Paper Industry

The acquisition reflects an ongoing consolidation trend in India’s paper industry as manufacturers expand capacity to meet rising demand for paper-based packaging and improve operating efficiency.

Growing consumption of sustainable packaging, higher raw material costs and the need for economies of scale are encouraging larger producers to pursue acquisitions rather than relying solely on greenfield expansion.

Industry observers expect consolidation activity to continue as companies seek stronger market positions while investing in integrated pulp, paper and packaging operations.
