MM Arnsberg mill acquisition

MM Board & Paper has agreed to acquire the operating business of Reno De Medici Group’s Arnsberg recycled cartonboard mill in Germany, expanding its European cartonboard production network.

The transaction will be completed through an asset deal, with all employees at the Arnsberg site transferring to MM. Financial terms have not been disclosed.

The acquisition is expected to close in the fourth quarter of 2026, subject to antitrust approvals.

Arnsberg Mill Adds 230,000 Tonnes of Cartonboard Capacity

Located in Arnsberg, Germany, the mill has annual production capacity of approximately 230,000 tonnes of recycled cartonboard, with a particular focus on liner products.

For MM, the acquisition represents an investment in its core cartonboard business and adds another production site to its existing German industrial platform.

The company already operates several cartonboard mills and packaging plants in Germany, providing an established manufacturing network into which the Arnsberg operation can be integrated.

MM expects this integration to generate synergies and support a turnaround of the mill.

The company said the acquisition should also increase production flexibility, strengthen security of supply and expand the range of products and services available to customers.

MM Targets Synergies Through German Production Network

The transaction comes as European cartonboard producers continue to manage changing demand, production costs and competitive pressures across the packaging market.

Rather than developing additional capacity through a greenfield investment, MM will acquire an existing recycled cartonboard operation and integrate it into its established manufacturing infrastructure.

According to MM, its existing industrial footprint in Germany provides opportunities to generate efficiencies across the combined operations.

The Arnsberg mill’s recycled cartonboard production will complement MM’s broader portfolio, which includes cartonboard, kraft paper, uncoated fine paper and converted packaging products.

The acquisition will also give MM additional flexibility in serving customers requiring recycled-fibre cartonboard and liner products.

RDM Continues Portfolio Restructuring

For RDM Group, the disposal forms part of its strategy to optimise its business portfolio and concentrate resources on product categories and markets where it sees stronger opportunities for sustainable growth and value creation.

RDM CEO Michele Bianchi said the company believes MM is an appropriate industrial owner to support the future development of both the Arnsberg operation and its workforce.

The sale comes as RDM progresses a broader financial restructuring.

Earlier in August, the Italian recycled cartonboard producer entered into a formal Debt Restructuring Agreement with its financial creditors as it works toward a planned recapitalisation.

That process includes the potential equitisation of up to €300 million of debt and €100 million in new financing through new senior secured notes.

RDM expects its recapitalisation process to be completed during the fourth quarter of 2026, subject to court confirmation and other conditions.

Arnsberg Employees to Transfer to MM

One important element of the transaction is the transfer of the Arnsberg workforce.

MM confirmed that all employees at the mill will transfer to the company as part of the acquisition.

This provides operational continuity as MM prepares to integrate the site into its German manufacturing network.

The next major step will be regulatory clearance. Completion remains subject to approval from the relevant antitrust authorities and is currently expected during the fourth quarter.

Once completed, the deal will give MM an additional 230,000 tonnes per year of recycled cartonboard capacity while allowing RDM to further concentrate its portfolio as it works through its restructuring.
